Orbit Illuminations Inc. is committed to protecting the privacy of all visitors to its web site. This Statement of Privacy applies to Orbit Illuminations’ web site and governs data collections and usage. By using the Orbit Illuminations’ website, visitors consent to the data practices as set forth in this Statement.

Collection of Information
Orbit Illuminations Inc. gathers aggregate information, which is anonymous data, not unique to individual visitors. The purpose of collecting aggregate information is to diagnose problems, administer the web site, collect broad demographic information and maintain quality of service. Terms & Conditions

WARRANTY:       
Merchandise is manufactured according to our high standards and warranted to be free from defects in material and workmanship for one (1) year from the date of shipment unless stated otherwise (ex. specification sheets).  During this period we will repair or replace, free of charge, such merchandise that proves to be defective.  This warranty does not apply to products damaged due to accident, tampering, misuse, abuse, or improper installation and in no event shall Orbit’s obligation under this warranty extend beyond the initial cost of products.  Orbit Illuminations will not accept any labor, repair or transportation cost without the written consent of Orbit Illuminations. The purchaser acknowledges and agrees that Orbit Illuminations Inc. in no event be responsible to purchaser or any third party for any claims, whether direct, indirect, damages, expenses, loss of profits arising out of the use of the products. Products must be installed by a certified electrician for the warranty to be valid.
 
LED WARRANTY:
Merchandise is manufactured according to our high standards and warranted to be free from defects in material and workmanship for five (5) years from the date of shipment unless stated otherwise. The LED warranty only pertains to the “components” part of the LED luminaire, LED boards and drivers only.During this period we will repair or replace, free of charge, such “components” that proves to be defective.  This warranty does not apply to products damaged due to accident, tampering, misuse, abuse, or improper installation and in no event shall Orbit’s obligation under this warranty extend beyond the initial cost of products.  Orbit Illuminations will not accept any labor, repair or transportation cost without the written consent of Orbit Illuminations. The purchaser acknowledges and agrees that Orbit Illuminations Inc. in no event be responsible to purchaser or any third party for any claims, whether direct, indirect, damages, expenses, loss of profits arising out of the use of the products. Products must be installed by a certified electrician for the warranty to be valid.
 
COMPONENT WARRANTY             
Orbit Illuminations will warrant defective components (LED drivers,ballasts, LED chips, LED lamps) based on the component manufacturers warranty from the date of purchase.Orbit Illuminations Inc. will not accept any labour charges or transportation fees for replacement of components. This warranty does not apply to products damaged due to accident, tampering, misuse, abuse, or improper installation and in no event shall Orbit’s obligation under this warranty extend beyond the initial cost of products.
 
DELIVERY:          
All merchandise is shipped F.O.B. Toronto, Ontario.  Unless complete instructions as to shipping method are provided by purchaser at the time of order, merchandise will be shipped by a common carrier at our discretion. Ground Freight is prepaid by Orbit Illuminations on orders exceeding $4000 before taxes.Orders under $4000 will incur freight charges from Toronto. Remote areas of Canada and the United States (ex. Alaska, Puerto Rico, Hawaii, Nunavut, etc.) will incur freight charges.
 
DAMAGE POLICY:            
All shipments are packed with care.  Orbit Illuminations Inc. is not responsible for any damages to merchandise occurred in transit. It is the responsibility of the carrier, therefore claim must be filed with carrier.  We shall be glad to assist you in every possible manner in collecting your claim for loss or damage.  The purchaser must save the carton and all interior packaging for inspection by the carrier.  All packages are shipped with carrier’s standard insurance ($100 value included).  Additional insurance on shipments will be obtained upon request in writing from purchaser.  The cost of the additional insurance is not included.It is the receiver’s responsibility to inspect shipments upon delivery.  All defective merchandise or missing items must be reported within 14 days of receipt of shipment.
 
RETURN POLICY:             
No returns will be accepted without prior approval and issuance of Return Merchandise Authorization (RMA) by Orbit Illuminations.  All shipping charges on returned merchandise must be prepaid by purchaser.  Orbit Illuminations Inc. will not accept any collect or C.O.D. deliveries on said return.  Products returned due to error in Purchase Order or no longer wanted by the purchaser will be subject to a 50% restocking charge.  Product must be in it’s original packaging.  No returns on modified, custom made or special ordered merchandise.  All returns are subject to inspection. Request for return must be made within 60 days of receipt of shipment, after this period no returns will be accepted.
 
OPEN ACCOUNT:             
A written and signed credit application is required with three trade references.  Orbit Illuminations Inc. shall verify trade references along with other industry sources prior to issuing credit.  The investigation must be conducted prior to shipping on an open account.
 
FORCE MAJEURE:
In no event shall Orbit Illuminations Inc. be responsible or liable for any failure or delay in the performance of its obligations hereunder arising out of or caused by, directly or indirectly, forces beyond its control, including, without limitation, strikes, work stoppages, accidents, acts of war or terrorism, civil or military disturbances, nuclear or natural catastrophes or acts of God, and interruptions, loss or malfunctions of utilities, communications or computer (software and hardware) services, transportation delays, shortage of fuel, supplier delays, global component shortages; it being understood that Orbit Illuminations Inc. shall use reasonable efforts which are consistent with accepted practices in the Manufacturing/Lighting Industry to resume performance as soon as practicable under the circumstances.

ORDERING:        
Verbal orders may be accepted by Orbit Illuminations Inc., however we require a written confirmation of your intention of purchase.  If a written confirming order is not utilized, purchaser assumes responsibility for order entry errors.

HANDLING CHARGE:      
For orders less than $1000.00 in value all border & entry fees must be paid by purchaser. USA ONLY!!!!

CHANGES:
Orbit Illuminations Inc. reserves the right to modify or change the design/specifications of the products without notice to the purchaser.
 
SHIPPING
All shipping times/dates are estimated and are not guaranteed. Orbit Illuminations Inc. is not responsible nor will accept any back charges or penalties, caused by damaged or delayed shipments. If the merchandise does not arrive by the “estimated” delivery date, purchase orders cannot be cancelled or returned.
 
TERMS OF PAYMENT:     
New Purchaser – First order 50% deposit to initiate the order and the balance prior to shipping.
Existing Purchaser – 2% discount net 10 days, net 30 days from Invoice date with approved credit.  All custom items are prepaid in full at the time of the order.  Orbit Illuminations Inc.will add a service charge of 2% per month, 24% per annum compounded monthly, to all past due invoices, except where prohibited by law.  The undersigned further agrees to pay all expenses, including court costs, legal and administrative expenses, and attorney fees paid or incurred by Orbit Illuminations Inc. in endeavoring to collect the sums due and owing to Orbit Illuminations Inc.
Volume Order – Orders over $25,000 require a 50% deposit, balance 30 days, on approved credit.

COPYRIGHT
All images, specification sheets, catalogues, price lists, trademarks and any documents provided by Orbit Illuminations Inc. remain the property of Orbit Illuminations Inc. together with the copyrights and patents therein.

AGREEMENT
The terms and conditions stated above shall constitute the entire sales agreement between Orbit Illuminations and the purchaser. No additional terms and conditions submitted by the purchaser will be accepted and will be rejected by Orbit Illuminations Inc. Purchaser’s submission of a purchase order shall indicate the purchaser’s agreement and acknowledgement with these Terms and Conditions of Sale.
